1. Acceptance of Terms

By accessing or using RetailFlow ERP ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms constitute a legally binding agreement between you and RetailFlow ERP.

2. Service Description

RetailFlow ERP is a cloud-based enterprise resource planning solution designed specifically for alcohol retail businesses. The Service provides:

  • Inventory management and tracking
  • Credit and payment management
  • Sales recording and analytics
  • Distributor order management
  • Expense tracking and financial reporting
  • Mobile and web application access

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3.3 User Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. You represent that you have the authority to bind your business to these terms.

4. Subscription and Payment

4.1 Subscription Plans

We offer monthly and annual subscription plans. Pricing is subject to change with 30 days' notice to existing subscribers.

4.2 Payment Terms

Subscriptions are billed in advance on a recurring basis. You authorize us to charge your payment method automatically for each billing cycle.

4.3 Refund Policy

Monthly subscriptions can be canceled anytime with no refund for the current billing period. Annual subscriptions may be eligible for pro-rated refunds within the first 30 days.

4.4 Failed Payments

If payment fails, we may suspend your access until payment is updated. Continued failure may result in account termination.

5. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate any alcohol retail regulations or licensing requirements
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble the Service
  • Resell or redistribute the Service without authorization
  • Use the Service to transmit spam or unsolicited communications
  • Impersonate others or provide false information
  • Interfere with other users' access to the Service

6. Data Ownership and License

6.1 Your Data

You retain all ownership rights to your business data. By using the Service, you grant us a limited license to process, store, and display your data solely to provide the Service.

6.2 Our Intellectual Property

The Service, including all software, designs, trademarks, and content, is owned by RetailFlow ERP. You may not copy, modify, or create derivative works without our permission.

7. Service Availability and Support

7.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

7.2 Support

Support is provided via email and phone during business hours. Priority support is available for annual plan subscribers.

7.3 Updates and Changes

We may update, modify, or discontinue features at any time. We will notify users of significant changes that affect functionality.

8. Data Backup and Security

We perform regular automated backups of your data. However, you are responsible for maintaining your own backup copies. We implement industry-standard security measures but cannot guarantee absolute security.

9. Termination

9.1 By You

You may cancel your subscription at any time through your account settings. Access will continue until the end of the current billing period.

9.2 By Us

We may suspend or terminate your account immediately if you violate these terms, fail to pay, or engage in fraudulent activity.

9.3 Effect of Termination

Upon termination, your access will be disabled. You may request a data export within 30 days. After this period, your data may be permanently deleted.

10. Disclaimers and Limitations

10.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

10.3 Compliance Responsibility

You are solely responsible for ensuring your business operations comply with all applicable alcohol retail laws, regulations, and licensing requirements.

11. Indemnification

You agree to indemnify and hold harmless RetailFlow ERP from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any rights of third parties.

12. Governing Law and Disputes

12.1 Governing Law

These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in India.

12.2 Dispute Resolution

We encourage resolving disputes informally by contacting us first. If informal resolution fails, disputes will be resolved through binding arbitration in accordance with Indian arbitration laws.

13. Changes to Terms

We may modify these terms at any time. Significant changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the modified terms.

14. Miscellaneous

14.1 Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and RetailFlow ERP.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign these terms without our consent. We may assign our rights and obligations to any successor entity.
